These Terms of Service ("Terms") are an agreement between you ("you", "Customer") and [Vivollo legal entity name] ("Vivollo", "we", "us") governing your use of the Vivollo platform, website and related services (the "Service"). By creating an account or using the Service, you agree to these Terms.
1. The Service
Vivollo provides an AI customer-support and sales platform that connects to channels such as WhatsApp, Instagram and your website and responds to your customers on your behalf. We may improve, change or discontinue features over time.
2. Accounts and eligibility
You must provide accurate account details and keep your credentials secure. You're responsible for activity under your account. You must be able to form a binding contract and use the Service for business purposes.
3. Acceptable use
You agree not to:
- use the Service unlawfully or to send spam, fraudulent, harmful or infringing content;
- attempt to access other tenants' data, probe or disrupt the Service, or bypass usage limits;
- reverse-engineer, scrape, resell or sublicense the Service except as permitted by law;
- use the Service to build a competing product or to violate any third-party platform's rules (for example, channel provider policies).
4. Your content and conversation data
You retain ownership of your knowledge base, configuration and the conversation data processed through your account. You grant Vivollo a limited licence to host, process and transmit that content solely to provide and support the Service for you, as described in our Privacy Policy. You're responsible for having the rights and consents needed for the content you provide.
5. Fees and billing
Paid plans are billed on a conversation-volume basis as described on our Pricing page. Fees are charged in advance for the billing term you select (monthly or annual) and are non-refundable except where required by law. We may update pricing with notice for future terms.
6. Third-party services
The Service connects to third-party channels and integrations. Your use of those is subject to their own terms, and we're not responsible for their availability or actions.
7. Intellectual property
Vivollo and its software, design and trademarks are owned by [Vivollo legal entity name] and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.
8. Disclaimers
The Service is provided "as is" and "as available". To the extent permitted by law, we disclaim implied warranties and do not guarantee that the Service will be uninterrupted, error-free, or that the agent's responses will be accurate in every case. You're responsible for reviewing automated outputs where appropriate.
9. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential damages. Our total liability for any claim is limited to the fees you paid for the Service in the [12] months before the event giving rise to the claim.
10. Indemnification
You will defend and indemnify Vivollo against third-party claims arising from your content or your use of the Service in breach of these Terms, to the extent permitted by law.
11. Term and termination
These Terms apply while you use the Service. Either party may terminate as described in your plan or order. On termination, your right to use the Service ends and we handle your data as set out in the Privacy Policy.
12. Changes
We may update these Terms; we'll post the new version here and update the "Last updated" date. Continued use after changes means you accept them.
13. Governing law
These Terms are governed by the laws of the Republic of Türkiye. Disputes are subject to the [Istanbul (Çağlayan)] courts and enforcement offices, without prejudice to mandatory consumer protections.
